2026 Voting Agenda

We are voting on the following items:

ARTICLE IV – Currently the article states that the corporation shall have a year to year existence until revoked by a majority vote of the membership.

THE BOARD RECOMMENDS THE FOLLOWING CHANGE:  The Corporation shall have a continuous existence until revoked by a majority vote of the membership.

Reason for recommended change:  The change will eliminate the need for the BRMA to conduct an annual vote to continue the BRMA.  The membership still retains the right to revoke the BRMA, at any time as stated in the original wording of the article.

ARTICLE V - Currently the last sentence of the article states Vacancies shall be filled, if for greater than five (5) months by a vote of the members, if less than five (5) months, by a vote of the remaining board.

THE BOARD RECOMMENDS THE FOLLOWING CHANGE:  Change the wording to:  Vacancies shall be filled to the end of the remaining term of the position by a vote of the remaining board.

Reason for recommended change:  The change will allow the board more time to find a replacement to the position and removes an unnecessary vote. 

THE BOARD RECOMMENDS THE FOLLOWING CHANGE:  To add the following:  That all Board of Director positions terms are five (5) year terms.

Reason for recommended change:  To remove the requirement of a year to year election of the Board officers.

ARTICLE IX - Section 4. -  Currently the article combines the duties of the Secretary/Treasurer as one Board Member.

THE BOARD RECOMMENDS THE FOLLOWING CHANGE: 

Section 4 Secretary. The Secretary shall keep the minutes of the Members and Officers meetings.  The Secretary shall perform all duties incident to the office of the Secretary and shall perform such others duties as may come, from time to time, to be assigned by the Members or the President.

Section 5 – Treasurer.  Treasurer shall have the custody for the receipts, disbursements, funds and securities of the Association.  The Treasurer shall perform all duties incident to the office of the Treasurer and shall perform such others duties as may come from time to time to be assigned by the Members or the President.

Reason for recommended change:  The change will keep duties of each position clear.  Currently the Secretary/Treasurer position is held by one Board Member.  In the future the positions may be separated and filled by two separate people upon membership voting.

BRMA BOARD OF DIRECTORS RECOMMENDS ADDING NEW ARTICLES TO THE BY-LAWS

ARTICLE XVI – REMOVAL OF AN OFFICER FROM THE BOARD OF DIRECTORS:

Ethics Violation – IF any officer of the Board of Directors conducts themselves in an inappropriate manner, and that incident is brought to the attention of the Board of the Directors, the Board of Directors will review the severity of the incident.  If the Board deems the incident to be damaging to the BRMA membership, a vote of the membership may be held for the immediate removal of the offending officer from the Board.  A simple majority vote will be required

ARTICLE XVII – FINANCIAL RESPONSIBILITY FOR ROAD DAMAGE:

The owners of parcels/lots on Boulder Road, Hannington Drive, Sprague Lane, Cowger Lane will be held financially accountable for damage done to the road by themselves or by contractor they hire to do work for them. The road will be required to be repaired to its original state prior to the damage.

 When an incident is brought to the attention of the Board, the Board will investigate and determine if further action is required. The Board will work with all owners involved. If a solution cannot be found then the Boulder Road Maintenance Association is given the authority by the owners to seek reimbursement for the repair and all cost incurred for collecting the monies from the offending owner if they refuse to repair the road.

Reason for By-law: Just prior to our vote on forming BRMA, a camp owner brought to my attention road damage done in front of their camp. They paid several hundred to have the road damage repaired out of their pocket. There was nothing I could do, because we were not an association yet. That being said, at this time we do not have a by-law in place to address this issue. BRMA needs a by-law to address this issue because it will occur again.

ARTICLE XVIII – HAZZARD AND SPEED LIMIT SIGNS:

This article authorizes the Board of Directors of the Boulder Road Maintenance Association to purchase and post Speed Limit and Hazzard signs on any roads that are part of the Association.

ADDITIONAL INFORMATION TO OWNERS:

To date we have 12 members who have not paid their 2025 dues.  This is a reminder to those members that you are in default.  Please send payment to Brett Davis, so as not to incur collection or court fees in accordance with ARTICLE XIII of the BRMA By-Laws.

Voting starts April 26th, 2026 and will end May 25th 2026 at midnight. Online website voting will be available to all members. Online voting requires a response to every question on the voting form.
